Terms of Service

1Eligibility

You must be at least 16 years old to use Actempus. If you are under 18, you confirm that a parent or guardian has read and agreed to these Terms on your behalf. You must be legally able to enter into this agreement and not be barred from using the Service under any applicable law.

2Your account

• You sign in with an email address and password, your Google account or your Apple ID. Sign-in is provided by Google Firebase Authentication. Password resets are handled through Firebase.
• You are responsible for keeping your sign-in details secure and for everything that happens under your account. Tell us straight away if you think someone else has accessed it.
• The information you give us must be accurate. Each account is for one person and must not be shared.

3The Service

Actempus lets you:

• set life priorities and goals, and track progress towards them
• create one-off and recurring tasks, and complete, skip or reschedule them
• see your Actempus tasks and connected calendar events together in one schedule, with clash warnings
• use an AI assistant to plan goals, answer questions and plan or reschedule tasks
• receive reminders, missed-task alerts, summaries and, optionally, leave-time alerts

Actempus is a personal productivity tool. It is not a medical, health, fitness, financial, legal or safety service, and it does not replace professional advice.

4Connected calendars

You can connect Google Calendar, Microsoft Outlook or Apple iCloud Calendar. Connecting a calendar is optional.

4.1 What you authorise

When you connect a calendar, you authorise Actempus to access it on your behalf as described in our Privacy Policy, including to:

• read your events (titles, descriptions, times, locations and recurrence) and keep them in sync
• create events for the tasks you add in Actempus, including recurring series
• update or delete events when you edit or delete the matching task in Actempus, including events that were originally created outside Actempus
• make the task changes you ask for or agree to through the AI assistant

You must only connect calendars that you own or are authorised to manage. If you connect a shared or work calendar, you are responsible for making sure that is allowed by its owner or your employer.

4.2 Changes flow both ways

Because sync is two-way, editing or deleting an imported event in Actempus changes or deletes it in your calendar, and changes made in your calendar are reflected in Actempus. For example, deleting a recurring series in your calendar removes its future dates from Actempus, and deleting a recurring task in Actempus ends the series from today in your calendar. Please take care before deleting events, particularly on shared calendars. Deleted calendar events may not be recoverable through Actempus.

4.3 Sync limitations

Sync depends on your calendar provider. It may be delayed, may fail during a provider outage, or may stop if you change your password or revoke access, in which case the app will ask you to reconnect. Apple iCloud calendars are checked every few minutes rather than instantly. Some recurrence patterns cannot be represented by every provider and may be added as separate events instead. Always treat your calendar provider as the definitive record of important commitments.

4.4 Disconnecting

You can disconnect a calendar at any time from the app's settings, or revoke access from your Google, Microsoft or Apple account. When you disconnect, we stop syncing and remove the events Actempus added to that calendar where the provider allows it.

5The AI assistant

• AI can be wrong. The assistant's responses, plans and suggestions are generated automatically and may be inaccurate, incomplete or unsuitable for you. Review them before you act on them. Any suggestions about exercise, diet, health, money or other personal matters are general information only, not professional advice.
• You stay in control. When you ask the assistant to add, change or remove tasks, or agree to a plan it proposes, those changes are applied to your Actempus tasks and to your connected calendars. You are responsible for the changes you approve.
• Usage allowance. On the free plan, each message to the assistant uses one AI credit from your daily allowance (currently 3 per day). The allowance resets at midnight in your time zone. Unused credits do not carry over. A failed request does not use a credit. Pro subscribers and users in their free trial have unlimited use, subject to fair use under section 8.
• Don't misuse it. You must not use the assistant to create unlawful, harmful, abusive or misleading content, or try to get around its safety measures or usage limits.

6Leave-time alerts and weather

If you allow location access, Actempus can show local weather and tell you when to leave for events that have a location. Leave times are estimates based on your last-known location (taken while the app was open), the event location you or your calendar provided, and live traffic data from Google. They can be affected by inaccurate addresses, stale location, traffic changes and missed notifications. Leave-time alerts are a convenience only. Do not rely on them for anything time-critical, and never use the app in a way that distracts you while driving.

7Plans, trial and billing

7.1 Free plan and trial

Actempus is free to use with a daily AI allowance. New accounts receive a one-month trial with unlimited AI use. You do not need to provide payment details for the trial, and you are not charged when it ends. You simply return to the free plan unless you choose to subscribe.

7.2 Pro subscription

• Actempus Pro removes the daily AI limit. In Australia it currently costs A$9.99 per month, including GST. In other countries, the price is shown in your local currency in the App Store or Google Play. The price shown at the time of purchase is the price you pay.
• Subscriptions are purchased and billed through the Apple App Store or Google Play, and your payment is handled by them under their terms. We do not receive or store your payment details.
• Automatic renewal. Your subscription renews automatically each month at the then-current price unless you cancel at least 24 hours before the end of the current period.
• Cancelling. You can cancel at any time in your App Store or Google Play subscription settings. You keep Pro until the end of the period you have paid for. Deleting the app or your Actempus account does not cancel your subscription.
• Price changes. If we change the price, we (or Apple or Google) will tell you in advance, and you can cancel before the new price applies.
• Refunds. Refund requests are handled by Apple or Google under their refund policies. This does not affect your rights under the Australian Consumer Law.

8Acceptable use

You agree not to:

• use the Service for anything unlawful, or to harass, harm or impersonate anyone
• connect a calendar or account you are not authorised to use
• upload content that infringes someone else's rights, or that contains malware
• access or try to access other users' data, or probe, scan or test the Service's security without our written permission
• interfere with or overload the Service, or use bots, scrapers or automated scripts to access it
• reverse engineer, decompile or copy the app, except where the law allows it
• resell, sublicense or commercially exploit the Service or AI output in bulk, or share your account to get around plan limits

9Your content

You own the content you put into Actempus, such as your goals, tasks, messages, voice recordings and profile photo ("Your Content"). You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display Your Content only as needed to provide, secure and improve the Service for you, including sending it to our service providers as described in the Privacy Policy. This licence ends when Your Content is deleted from our systems. We do not use Your Content or your calendar data to train general-purpose AI models.

You are responsible for Your Content and confirm you have the right to provide it.

10Our intellectual property

The Service, including the app, its design, software, text, graphics and the Actempus name and logo, belongs to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app on devices you own or control, for your own personal use, in line with these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.

11Third-party services

Actempus works with services run by others, including Google, Microsoft, Apple, Amazon Web Services, RevenueCat and Google Maps Platform. Your use of those services is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy or conduct, including how a calendar provider stores or changes your events.

12Availability and changes to the Service

We work to keep Actempus available and reliable, but it may sometimes be unavailable because of maintenance, updates or events outside our control. We may add, change or remove features over time. If we remove a significant feature you have paid for, we will tell you in advance and, where appropriate, offer a pro-rata refund or other remedy.

13Suspension, termination and deletion

• You can stop using Actempus at any time and delete your account from the app's settings. Deleting your account permanently deletes your sign-in and your Actempus data, as described in the Privacy Policy. This cannot be undone.
• We may suspend or close your account if you seriously or repeatedly breach these Terms, if we must do so by law, or to protect the Service or other users. Where reasonable, we will warn you first and give you a chance to fix the problem.
• If we close your account without cause while you have an active paid subscription, we will refund the unused part of the current period.
• Sections 9 to 11 and 14 to 20 continue to apply after your account ends.

14Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth) or any other law that cannot lawfully be excluded or limited ("Non-excludable Rights"). Where our liability for failing to comply with a consumer guarantee can lawfully be limited, it is limited to supplying the services again or paying the cost of having them supplied again.

15Disclaimers

Subject to your Non-excludable Rights, the Service is provided "as is" and "as available". To the extent permitted by law, we do not promise that the Service will be uninterrupted or error-free, that calendar sync will always be complete or immediate, or that AI output, travel-time estimates or weather information will be accurate. You are responsible for checking important information, such as appointment times, with the original source.

16Limitation of liability

Subject to your Non-excludable Rights and to the extent permitted by law:

• we are not liable for any indirect or consequential loss, or for loss of data, profits, opportunity or goodwill, or for missed appointments or events, arising from your use of the Service
• our total liability to you for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose and A$100

These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by our negligence, or for our fraud.

17Additional terms for Apple devices

If you downloaded Actempus from the Apple App Store, the following also applies:

• These Terms are between you and us, not Apple. Apple is not responsible for the app or its content.
• Your licence to use the app is limited to Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to meet an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the extent permitted by law, Apple has no other warranty obligation for the app.
• Apple is not responsible for addressing any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
• Apple is not responsible for investigating, defending, settling or discharging any third-party claim that the app infringes someone's intellectual property rights.
• You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. If you have a problem, please contact us first so we can try to resolve it informally. If we cannot, you and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. If you live outside Australia, this does not take away any protection you have under the mandatory laws of your country.

19Changes to these Terms

We may update these Terms from time to time, for example to reflect new features or changes in law. If a change materially affects you, we will tell you in the app or by email at least 14 days before it takes effect. If you do not agree to the new Terms, you can delete your account and cancel any subscription before they take effect. If you keep using the Service after that, you accept the updated Terms.

20General

• These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• If any part of these Terms is found to be unenforceable, the rest stays in effect.
• If we do not enforce a right straight away, we have not waived it.
• You may not transfer your rights under these Terms. We may transfer ours to a successor business, provided your rights are not reduced.
• We are not liable for delays or failures caused by events beyond our reasonable control.
